Terms of Service

These Terms of Service ("Terms") govern your access to and use of Esper EHS (esper-ehs.com and the Esper application, together "Esper," "we," "us," or "our"). By creating an account or otherwise using Esper, you agree to these Terms. If you're agreeing on behalf of a company or other organization, you're confirming you have the authority to do so, and "you" refers to that organization as well.
1. The Service
Esper is a platform that helps companies track contractor insurance, licenses, training, and safety records. We may add, change, or remove features over time as the product evolves.
2. Accounts
- You're responsible for the accuracy of the information you provide when creating an account.
- You're responsible for keeping your login credentials secure and for all activity that occurs under your account.
- Notify us promptly if you become aware of unauthorized use of your account.
- Accounts are provisioned by the organizations that use Esper (companies and the contractors connected to them); individual access is managed by your organization's administrators.
3. Acceptable Use
When using Esper, you agree not to:
- Use the service for any unlawful purpose or in violation of any applicable regulation
- Upload content you don't have the right to share, or that infringes someone else's rights
- Attempt to gain unauthorized access to Esper, other accounts, or the systems Esper runs on
- Interfere with or disrupt the integrity or performance of the service
- Upload false or fraudulent compliance documents (e.g. altered insurance certificates or licenses)
4. Your Content
You (or your organization) retain ownership of the documents, records, and other content you upload to Esper. You grant us the right to host, store, and display that content back to you and to the other parties your organization's configuration makes it visible to (for example, a client company and its connected contractors), solely for the purpose of operating the service. We don't claim ownership of your content, and we don't use it for anything beyond providing Esper to you. See our Privacy Policy for more on how information is handled.
5. Fees
Any fees for use of Esper will be set out separately when your organization signs up, rather than in these general Terms. If no fee arrangement has been made, no fee is owed.
6. Third-Party Services
Esper relies on a small number of third-party providers (such as cloud hosting, file storage, email delivery, and bot protection) to operate. Your use of Esper is also subject to the applicable terms of those providers where relevant, such as Google's Terms of Service for reCAPTCHA.
7. Disclaimer of Warranties
Esper is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Esper is a tool to help track and organize compliance information — it does not replace your organization's own judgment, safety programs, or legal and regulatory obligations.
8. Limitation of Liability
To the fullest extent permitted by law, Esper and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the service. Our total liability for any claim related to Esper will not exceed the amount you paid us, if any, in the twelve months before the claim arose.
9. Termination
Either you or we may stop using or providing the service at any time. We may suspend or terminate access to Esper if these Terms are violated or if we reasonably believe continued access poses a risk to Esper or other users. We'll make reasonable efforts to give notice where practical, and to help your organization retrieve its data on request following termination.
10. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law principles.
11. Changes to These Terms
We may update these Terms as Esper evolves. If we make material changes, we'll update the "Last updated" date at the top of this page. Continued use of Esper after changes take effect means you accept the updated Terms.
